Terms / Algemene voorwaarden - 2026-10-02-v4 seller_name: CoreStoneSoft seller_address: Creel 19 7881 AV Emmer-Compascuum Nederland seller_kvk: 42080978 seller_vat: legal_contact_email: info@corestonesoft.nl 1. Business use and agreement Aether is offered only to business customers. The contract is formed upon electronic order confirmation by CoreStoneSoft. The order and these terms determine the edition, features, installation count, price and delivery. Separate written agreements take precedence. An information request is not an order. 2. Perpetual license After payment and delivery, you receive the agreed right to use the software per installation, tied to the Device ID. Perpetual means the delivered, activated version has no agreed expiry date. It does not automatically include unlimited installations, source code, future major versions, lifetime support or continued compatibility with every Android device or external API. Edition and enabled features follow the supplied license. 3. Payment, delivery and activation Orders show total price and applicable VAT/KOR treatment. Hardware, SIM, carrier plans, SMS/data and external charges are excluded. Advance payment through Mollie is required; returning from checkout is not proof of payment. The license is made available within two business days after verified payment and receipt of a valid Device ID, earlier automatically if issuance succeeds. Errors are handled manually. Automatic activation and manual import are available. Payment on invoice requires a separate written agreement specifying its payment term. One-time purchases do not automatically renew. 4. Devices and migration You provide suitable Android hardware, SIM, carrier plan, network and Android permissions. Each paid license permits one active installation. Normal device replacement includes free manual reissue after verifying the customer and order. Decommission the old installation. We record old and new Device IDs, reason, date and administrator. An offline license cannot be guaranteed to be remotely revoked. Manage app data and certificates securely. 5. Messages and external charges Mobile subscriptions, SMS, data plans and charges or terms from WhatsApp, Telegram and other suppliers are separate from the software price. You are responsible for permitted recipients and lawful use. Providers may change limits, registration requirements and APIs. API acceptance does not automatically mean recipient delivery. Validate fallback and delivery status in your own environment. 6. Industrial monitoring and safety Aether supports notifications and monitoring but is not a safety-certified alarm system or a replacement for emergency stops, process safety or legally required safeguards. Verify OPC tags, conditions, debounce, recipients, recovery notifications and sustained operation before production. Provide independent monitoring and appropriate escalation for critical processes. No 100% availability or delivery is guaranteed. 7. Updates and support The purchase includes twelve months of regular email support and maintenance updates for the purchased major version. No 24/7 service, SLA or guaranteed response or resolution time. New major versions may be offered separately. The perpetual use right for the delivered version continues. Security updates and support duration follow applicable legal requirements; where required we communicate the specific support period. No voluntary fixed five-year term or lifetime update promise is made. Install only official releases and test updates before production use. 8. Privacy and intellectual property The privacy notice describes portal processing. Your organization determines access and purposes for its own gateway data. If CoreStoneSoft processes personal data on your behalf during support, appropriate agreements must be made. Software and documentation remain owned by their rights holders; you obtain a right of use. Licenses for included open-source components continue to apply. 9. Issues and termination Report demonstrable defects with version, reproduction steps and necessary sanitized logs. CoreStoneSoft investigates reproducible attributable defects and discusses reasonable remediation/workarounds. Mandatory rights and agreed remedies remain. Material breach may permit termination under applicable law, with notice and reasonable cure where required. Paid perpetual licenses are not automatically revoked because separate support ends, the portal is unavailable or a token expires. 10. Scope of use rights Use rights are non-exclusive for internal business use on agreed installations. Sublicensing/resale require permission. Circumvention, reverse engineering/decompilation are prohibited except insofar as mandatory law expressly permits. Open-source licenses remain. WhatsApp requires Meta/API setup and Telegram bot/recipient setup. Customers determine lawful processing, recipients, backups and production acceptance. 11. Force majeure and external services Carriers, Meta, Telegram, Google/Android, internet and customer networks are not wholly controlled by CoreStoneSoft. Limitations apply only where the cause lies there and law permits. Events outside reasonable control, such as widespread infrastructure/power outages, government action or incidents not reasonably preventable, may constitute force majeure insofar as performance is prevented. Own security/legal duties remain. Parties communicate and reasonably mitigate consequences. 12. Liability CoreStoneSoft's liability for an attributable failure to perform is limited to the amount paid for the relevant Aether license per event giving rise to damage. Related events count as one event. To the extent permitted by law, liability for indirect loss is excluded, including consequential loss, loss of profit, lost savings, business interruption, production loss and data loss. To the extent permitted by law, CoreStoneSoft is not liable for loss caused by failed or delayed delivery through external communications or network services where the cause lies outside Aether and CoreStoneSoft. This exclusion does not cover an attributable fault in its own software. Limitations and exclusions do not apply insofar as mandatory law prohibits them, including applicable exceptions for intent or deliberate recklessness. CoreStoneSoft currently has no specific software liability insurance. This clause does not affect rights that cannot lawfully be excluded. 13. Dutch law and changes Dutch law applies. Disputes go to the court competent under Dutch procedural law, subject to mandatory law. New terms do not silently change existing agreements retroactively. The accepted order version is retained. Processing on customer instructions requires appropriate additional processing agreements.
